A global special-situations investor says the limited-vote L shares of Mexican toll-road operator Pinfra are "way too cheap" at about a 30% discount to its ordinary shares. The case rests on a simple fact: both share classes get the same dividends. The risk is that the gap has been much wider before, and the L shares barely trade.

## Key facts

- Pinfra's ordinary shares (PINFRA) closed at 303.62 pesos on October 22, 2026, and its L shares (PINFRA L) at 210.00 pesos, a 30.8% discount.
- The ordinary shares set a record close of 306.20 pesos on October 21, 2026, in Yahoo Finance data back to 2000.
- Third-quarter 2026 revenue was 6,639.7 million pesos, up 33%, and net income was 3,001.3 million pesos.
- Cash and temporary investments were 26,947.6 million pesos against 10,238.8 million pesos of debt, all of it project-level securitizations.

- A US$50 million dividend approved on June 26, 2026 is payable by December 31, 2026.
- The L shares traded a median of about 1,700 shares a day over the 30 sessions to October 22.

## Is Pinfra's L share a good bet right now?

It depends almost entirely on whether the discount narrows. Since December 31, 2025, the ordinary shares are up 13.6% while the L shares are up 6.1%, so the gap has widened as the company did well.

History cuts both ways. The L shares were placed in July 2014 at 172 pesos, a 6.1% discount to the ordinary shares, [according to IFR](https://www.ifre.com/ifr-awards/1443670/latin-america-equity-issue-pinfras-us624m-follow-on). Using daily closes, the gap averaged about 10% in 2015, about 34% in 2019, about 40% in 2022 (peaking near 46%) and about 21% in 2025. Today's 30.8% is wider than the 2025 average but well short of 2022.

## Why are investors bullish on Pinfra?

The business is doing well. In its [third-quarter report](https://www.pinfra.com.mx/reporte-trimestral) filed October 22, concession revenue rose 12.7% to 4,158.6 million pesos and average daily toll-road traffic rose 4% to 327,527 vehicles.

Headline EBITDA fell 77% to 3,304.2 million pesos, as [El Economista reported](https://www.eleconomista.com.mx/mercados/flujo-operativo-pinfra-77-iii-trim-20261022-840108.html). That drop reflects a one-time gain on the sale of the Altamira port in the year-earlier quarter. Pinfra's report puts year-earlier EBITDA excluding that gain at 2,212.3 million pesos, which implies a 49% increase.

The company's [dividend page](https://www.pinfra.com.mx/dividendos) says all share series, including L, share dividends in proportion. So the same payout costs about 30% less through the L line. In September, Santander started coverage of the ordinary shares at Outperform with a 335-peso target, [El Heraldo de Mexico reported](https://heraldodemexico.com.mx/opinion/2026/9/23/santander-apuesta-fuerte-al-modelo-de-pinfra-893491.html).

## Who's making this call and why?

Clark Square Capital is a global investor who publishes research on under-the-radar stocks and special situations. On October 23 he [posted](https://x.com/ClarkSquareCap/status/2113645456978763823): "L shares are still at a 30% discount and way too cheap." He has argued this before. On December 23, 2025, he [wrote](https://x.com/ClarkSquareCap/status/2003542783509057858): "PINFRAL spread continues to widen."

**Track record.** In our tracking, Clark Square Capital is 5-6 (a .455 win rate) on 11 calls scored at 180 days against the S&P 500, with an average edge of +2.9 points. He is not yet ranked. His December 2025 L-share call trailed the index by 5.6 points at 180 days. See the [scoreboard](https://mcafax.com/notebook/market-calls-scoreboard).

**Other supporters:**
- Evan Tindell, CIO of Bireme Capital, [wrote](https://x.com/evantindell/status/2014344729031315802) on January 22: "3) In many Pinfra concessions they get guaranteed real IRRs in pesos." In our tracking he is 5-6 on 11 scored calls, with an average edge of -2.2 points.
- In the same thread he [added](https://x.com/evantindell/status/2014349249169805582): "Another issue is that the contractual, inflation-linked tariff increases seem to be more secure at Pinfra."

## Who disagrees?

We found no prominent public bear on the L shares. The case against is structural. Pinfra's [shareholder meeting page](https://www.pinfra.com.mx/asamblea) says L holders vote only on narrow matters such as a change of corporate purpose, nationality or dissolution, or delisting the L shares. Investors have priced that weaker voice at a 40%-plus discount before.

Liquidity is the other problem. A median of about 1,700 shares a day is roughly 350,000 pesos at Thursday's close. Santander's own risk list includes Mexican growth, political uncertainty, delayed tariff increases, competing routes and new competing concessions.

## What are the key facts to verify?

- The discount. Check both closes; 30.8% uses October 22 closes.
- The rights. IFR's 2014 deal report said L shares carry tag-along rights and convert into ordinary shares if Pinfra raises more than 25% of its equity. Confirm current terms with the company.
- The dividend. Watch for the US$50 million payment due by year-end.
- Projects. Uruapan-Nueva Italia, a 6,500-million-peso project, is due in August 2027.

## What would prove it right or wrong?

Right: the gap closes toward the 2025 average of about 21%, Pinfra repurchases L shares, or dividends keep flowing at a rising rate. Wrong: the gap widens back toward 40%, tariff increases are delayed, or capital spending eats into the cash pile.
