Onterris, Inc. (NYSE: ONT), the environmental testing and consulting company formerly called Montrose Environmental Group, closed at $13.55 on October 14, 2026, down from $22.63 on August 5, the day it announced a board-led strategic review and a poison pill. Special-situations writer Dalius (@InvestSpecial) liked the sale setup in August. On October 6 he said a former employee's East Palestine allegation makes the legal overhang "hard to underwrite," and he stayed on the sidelines.

Key facts
- Ticker and exchange: Onterris, Inc., ONT, New York Stock Exchange (ticker changed from MEG on May 4, 2026).
- Situation type: Strategic review plus a one-year rights plan adopted after "significant and undisclosed accumulation" of its shares and derivatives.
- The call: Dalius (@InvestSpecial) says ONT is starting to look cheap but did not commit. We log it as neutral.
- Second quarter 2026: Revenue of $186.7 million versus $234.5 million a year earlier; 2026 adjusted EBITDA guidance cut to $117.0 million to $120.0 million from $125.0 million to $130.0 million.
- Balance sheet (as of June 30, 2026): Leverage ratio of 3.2x, $160.8 million of total available liquidity, and 35,110,136 shares outstanding.
- Catalyst: The board set no timetable for the review. The rights plan expires on August 4, 2027.
- Main risk: A whistleblower complaint about East Palestine testing by CTEH, a unit now under the Onterris brand. The company says it stands behind its work.
Is ONT a good bet right now?
The setup has two parts that pull in opposite directions.
The first is a classic special situation. An unnamed party built a position, the board answered with a review and a rights plan, and the stock then fell about 33% on August 6, 2026, to $15.09 after weak results.
The second is a legal and reputational question. A former CTEH scientist alleges she was pressured to downplay chemical testing results after the 2023 Norfolk Southern derailment in East Palestine, Ohio. That kind of claim is hard to size, and it can scare off buyers.
At $13.55, Onterris has a market value near $476 million on its June 30 share count.
Why were investors interested in Onterris?
- Possible buyer. The rights plan itself cites undisclosed accumulation of shares and derivatives.
- Earnings blip view. Onterris blamed most of the revenue drop on historically low emergency-response work after an unusually large event a year earlier.
- Margins held. Second-quarter adjusted EBITDA margin was 17.1% versus 16.9%, and the company still expected $70.0 million to $80.0 million of second-half operating cash flow.
- Analyst view. MarketScreener's consensus page lists a mean rating of Outperform from six analysts as of October 15, 2026.
Who's making this call and why?
Dalius posts event-driven and special-situation ideas as @InvestSpecial and says all his picks are posted on his own site. On August 25 he wrote that the "$ONT setup looks interesting," while adding, "My main issue is earnings quality." He said ONT traded near 13x EBITDA after adjusting for stock pay, and doubted a buyer could eliminate all of that cost.
On October 6 he followed up: "It's starting to look genuinely cheap, but the legal/regulatory overhang is hard to underwrite." He added, "Glad we didn't commit here."
Track record. In our tracking, Dalius is 4-16 (a .200 win rate) on 20 calls scored at 180 days against the S&P 500, with an average edge of -11.74 percentage points and a median of -20.39, ranking 9th on the career table. His August ONT lean is still provisional. See the scoreboard.
Other supporters: We did not find a credible X account making a reasoned ONT long case in the last 60 days. Most posts were news relays or chart signals.
Who disagrees?
- Barclays. Barclays downgraded Onterris to Equal Weight from Overweight on August 7, 2026, and cut its price target to $15 from $19.
- Stock pay. Onterris reported $18.7 million of stock-based compensation in the first half of 2026 against $49.7 million of adjusted EBITDA, which supports Dalius's earnings-quality worry.
- The whistleblower complaint. The Government Accountability Project filed a complaint with the EPA Office of Inspector General, WFMJ reported on September 24, 2026.
- The company's answer. Onterris told the station, "We stand firmly behind the science, our professional standards and the integrity of our work."
What are the key facts to verify?
- The August 5, 2026 results and review release: guidance, leverage, stock pay and the rights plan.
- The April 21, 2026 rebrand release, which lists CTEH among the brands now under Onterris.
- The Government Accountability Project summary of the allegations, which remain unproven.
- Any 13D filing that names the accumulating holder.
What would prove it right or wrong?
Signals the sale thesis is working:
- Onterris announces a sale or a named bidder.
- Third-quarter revenue lands in the guided $190.0 million to $210.0 million range.
- The EPA inspector general declines to act, or the allegations fade without new claims.
Signals the cautious view is right:
- The review ends with no deal.
- New investigations, penalties or civil claims tied to East Palestine appear.
- Guidance is cut again or leverage rises above 3.2x.
