SkyAI, Inc. (Nasdaq: SKYA), a company that holds Solana (SOL) tokens as its main asset, says it will offer $3.00 a share in cash for up to 95% of its stock and several classes of warrants, but only if SOL closes above $100 for the whole offer period. Rod Alzmann (@RodAlzmann), a special-situations investor on X, flagged that crypto-price condition on October 13, 2026, when the stock closed at $2.61. The gap to $3.00 is the market's price for the chance that the offer fails, gets cut back, or leaves a thinly traded stock behind.

Key facts
- Ticker and exchange: SkyAI, Inc., SKYA, Nasdaq Capital Market.
- Situation type: Planned issuer cash tender offer, announced October 11, 2026. It has not formally started.
- The offer: $3.00 cash for up to 46.37 million common shares and up to 20.72 million warrants (95% of each class), for a maximum of about $201 million.
- Timing: Expected to start on or about October 15, 2026 and run 10 business days unless extended.
- Conditions: At least 50% of each class tendered, SOL closing above $100 throughout, and no Nasdaq delisting or deregistration as a result. SkyAI says it may waive any of them.
- Funding: Cash plus SOL sales. On October 13, 2026 the company said it "retains approximately 600,000 SOL and has approximately 80% of the cash required for the Offer."
- Price: SKYA closed at $1.82 on October 9, $2.60 on October 12 and $2.61 on October 13, 2026.
Is SKYA a good bet right now?
At $2.61 the stock sits $0.39, or about 15%, below the $3.00 offer price. That discount reflects three open risks. The offer may never close. If more than 95% of a class is tendered, SkyAI buys pro rata, so some shares come back. And whatever stock is left afterward could trade well below $3.00.
The SOL test is the unusual part. SOL-USD closed near $106.73 on October 13, 2026 on Yahoo Finance, only about 7% above the $100 line. A sharp crypto sell-off during a 10-business-day window would let SkyAI walk away.
Why the offer is drawing attention
- A big premium. The company says $3.00 is a 65% premium to the October 9 close and more than 100% above the 60-day volume-weighted average price.
- A rejected suitor. The same release said the board rejected Forward Industries' (FWDI) latest unsolicited, non-binding proposal of 0.306 FWDI shares per SKYA share, which it said came "with no certainty of timing or value."
- Unhappy holders. At the September 18, 2026 annual meeting, all five directors were elected, but each drew more votes withheld than for, and holders rejected the 2026 equity plan 22,464,708 votes to 5,048,520, according to an 8-K.
- A rare condition. Most tender offers do not hinge on a token price.
Who's making this call and why?
Rod Alzmann (@RodAlzmann) describes himself as a private investor focused on special situations and has about 23,800 followers on X. He often posts the math behind tenders and exchange offers.
On October 13, 2026 he wrote, "Interesting SC-TO-C filing from $SKYA hadn't see a tender offer contingent on crypto price before". An SC TO-C is the filing a company makes for communications before a tender formally begins. He did not say whether he owns shares or plans to tender.
Track record. In our tracking, Rod Alzmann is 5-5 (a .500 win rate) on 10 calls scored at 180 days against the S&P 500, with an average edge of -19.0 percentage points, and he is unranked because he has fewer than 15 scored calls. His SKYA post is logged as neutral and not scored. See the scoreboard.
Supporters: We did not find a credible X account arguing that SKYA is a bargain at today's price. Most bullish posts we saw were promotional and are not quoted here.
Who disagrees?
- ColdWater (@ColdWaterDai), a skeptic of hyped small caps, argued that late buyers mostly fund earlier holders' exit, writing, "Buy back 95% of yourself and there's no stock left to trade."
- The company itself. SkyAI, its board and the information agent make no recommendation on whether to tender.
- The business. SkyAI's June 30, 2026 10-Q shows a six-month net loss of about $109.5 million and $2.5 million a quarter in consulting fees to a related party.
- A shrinking Treasury. The company has already sold about half its SOL, and further sales depend on market conditions.
What are the key facts to verify?
- The final Schedule TO on SkyAI's SEC filing page: expiration date, proration rules and how the SOL test is measured.
- The October 13, 2026 8-K on SOL held and cash on hand.
- The daily SOL closing price against the $100 line.
- Whether Forward Industries returns with a new proposal.
- How many shares stay outstanding and whether the Nasdaq listing holds.
What would prove it right or wrong?
Signals the gap to $3.00 was too wide:
- The offer launches around October 15, 2026 on the announced terms.
- SOL stays above $100 and the 50% minimum is met.
- SkyAI pays $3.00 promptly after expiration.
Signals it is failing:
- SOL closes below $100 and SkyAI does not waive the condition.
- The offer is delayed, cut or withdrawn.
- The remaining stock trades far below $3.00 or faces listing problems.
